Bio

Sean Dixon, having more than twenty-five years of experience, is a trusted advisor to public and private sector clients navigating complex commercial real estate and business matters. As Counsel at Rosenberg Martin Greenberg, he specializes in structuring and negotiating sophisticated transactions, with a focus on real estate development, public-private partnerships, affordable housing, and public finance.

Before joining the firm, Sean served over 11 years as Deputy County Attorney for Prince George’s County, where he led a team of transactional attorneys supporting the County’s business, real estate, and economic development initiatives. As the County’s senior legal advisor, he provided guidance on multi-source financing transactions, large-scale development projects, and the County’s $50 million revolving Economic Development Incentive Fund. He played a key role in structuring complex incentive packages, leveraging tools such as Payments in Lieu of Taxes (PILOTs), Federal HOME Loans, and Low-Income Housing Tax Credits (LIHTC) to support transit-oriented, mixed-use, and affordable housing developments.

Earlier in his career, Sean held leadership positions at the Maryland-National Capital Park and Planning Commission’s Office of General Counsel and the City of Baltimore Law Department, advising on procurement, public construction, and land disposition transactions. His experience also extends to the representation of issuers, underwriters, and developers in the issuance of tax-exempt and taxable bonds, including tax increment financing (TIF) and revenue bonds. He has counseled both public and institutional lenders and borrowers in secured and unsecured loans, SBA and other government-backed funding programs.

Throughout his career, Sean has built a reputation for providing strategic legal counsel on development agreements, real estate acquisitions, commercial leasing, and joint ventures. Clients rely on his deep understanding of complex legal frameworks and his ability to deliver pragmatic, business-driven solutions.  Sean brings expertise, insight, and a results-oriented approach to every transaction, ensuring his clients navigate challenges effectively and seize opportunities with confidence.
